What is the Sweepstakes?

The Tamagotchi L.i.f.e “Sounds Great!” Sweepstakes (“Sweepstakes”) is an opportunity to win one pair of concert tickets to one of the following concerts:

Drake – Sunday, Dec. 15, 2013 7PM First Niagara Center – Buffalo, NY;
Beyoncé – Friday, Dec. 20, 2013 8PM TD Garden – Boston, MA; or
Justin Timberlake – Friday, Jan. 17, 2014 8PM Key Arena – Seattle, WA .

Winners may elect to receive $100 instead of the pair of tickets they have been notified they have won. No purchase is necessary to enter or win. This Sweepstakes is offered by Sync Beatz Entertainment, Inc., a California corporation, located at 5959 W. Century Blvd., Suite 840, Los Angeles, CA 90045 and its affiliates (the “Company”).

The Sweepstakes begins on October 21, 2013 and ends at December 2, 2013 11:59 p.m. PST. Winners will be notified and tickets sent via Federal Express (with signature required) at least 7 (seven) days prior to the Concert. How do I participate in the Sweepstakes?

Participants may enter only one time through the tamagotchilife.com website. However, participants may also use “Bonus Entries” by completing any of the following actions:

1. Provide your email address and agree to terms and Conditions on the Tamagotchi L.i.f.e. Website.
2. “Like” Tamagotchi L.i.f.e. on your Facebook page.
3. Follow Tamagotchi L.i.f.e. on Twitter.
4. Add a Tamagotchi L.i.f.e. pin to your Pinterest page.

Who may participate?

Participants must be citizens or legal residents of the United States and must be at least 18 years of age on the first day of the Sweepstakes. Winners must provide proof of citizenship or residency status. There is no purchase necessary to enter.

Employees of the Company and its affiliates are not eligible to enter or win. By participating in the Sweepstakes, you are agreeing to these rules concerning the Sweepstakes. By entering the Sweepstakes, you are also agreeing to the rules, terms and conditions of Facebook.com.

How are winners determined?

Winners will be determined by the Company at random in its sole discretion. Winners will be notified by mail, phone, and/or e-mail in Company’s sole discretion.

Winners may be required to execute and return an affidavit of eligibility, a liability release, and, where lawful, a publicity release within forty-eight (48) hours of receipt. If such documents are not returned within the specified time period, if a prize or prize notification is rejected, faulty or returned as undeliverable, if Company is unable to contact a potential winner within 48 hours of notification, or if a potential winner is not in compliance with these Official Rules, all prizes will be forfeited and, at Company’s discretion, an alternate winner selected for the Sweepstakes Prize at issue.

Prize List

One pair of tickets to Drake -Sunday, Dec. 15, 2013 7PM First Niagara Center – Buffalo, NY;
or one pair of tickets to Beyoncé – Friday, Dec. 20, 2013 8PM TD Garden – Boston, MA;
or one pair of tickets to Justin Timberlake – Friday, Jan. 17, 2014 8PM Key Arena – Seattle, WA .

Or, winners of one pair of tickets may elect to receive $100 instead of the pair of tickets they have won.

No prize winner may win more than one prize. The prize winners are responsible for all other expenses related to attending the identified concerts including, but not limited to, travel to the event and parking for the event. Each winner agrees that the prize is awarded “as is” with no warranty, representation or guarantee, either express or implied, in fact or in law, whether now known or hereinafter enacted, relative to the use or enjoyment of the prize, including, without limitation, its quality, merchantability or fitness for a particular purpose.

Winners may not substitute, assign or transfer a prize or redeem a prize for cash except as provided above. Winners are responsible for all applicable federal, state and local taxes, if any. Company will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach the winner for any reason, including, without limitation, because of incorrect or changed contact information.

No more than the stated prizes will be awarded. All prizes legitimately claimed will be awarded. Company is not responsible for cancelled events. Company is not affiliated in any way with the performers or promoters of the events.

Disputes

Company is not liable for technical failure or other errors or difficulties of any kind whether human, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur

in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes and the winners, or in any Sweepstakes-related materials.

Participants and nominees, by participating, agree that Companies and its respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, members, managers, contractors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse, awarding or use of any prize (including any activity related thereto) or while preparing for, participating in and/or traveling to or from any prize- or Sweepstakes-related activity.

All Sweepstakes participants hereby agree that any and all disputes regarding this Sweepstakes will be settled through BINDING ARBITRATION HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR FROM JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC. (“JAMS”). This Sweepstakes is void where prohibited.

Except where prohibited, as a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the entrant and any Released Party, claims and causes of action arising out of or connected with this

Sweepstakes, or the prize awarded, or the determination of the winner must be resolved individually, without resort to any form of class action.

Further, in any such dispute, under no circumstances will an entrant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-pocket expenses (if any), not to exceed two hundred fifty dollars ($250), and entrant further waives all rights to have damages multiplied or increased.

Applicable Law

All issues concerning these Sweepstakes shall be controlled by and construed under the laws of the State of California. California law shall govern interpretation and enforcement of Sweepstakes, regardless of conflicts of laws principles. Each party shall bear its own costs and attorneys fees in any such action or dispute.
