What is the contest?

The Tamagotchi L.i.f.e (T-L.i.f.e.) is Sweet With Technology Contest (“Contest”) is an opportunity for you to tell and show us in pictures how you and/or your friends are enjoying the new free Tamagotchi L.i.f.e App (Android and iOS) and win free prizes from Sync Beatz Entertainment! This Contest is offered by Sync Beatz Entertainment, Inc., a California corporation, located at 5959 W. Century Blvd., Suite 840, Los Angeles, CA 90045 and its affiliates (the “Company”). Each week of the Contest, one (1) contestant will be selected to win a prize as described below. The contest begins on May 1, 2013 and will end on June 30, 2013. The end of each week of the Contest is Sunday at 11:59PM (PDT). To enter to win, go to https://www.facebook.com/ TamagotchiLife, select the Facebook contest link and follow the instructions provided there. Winners of each weekly contest will be notified within three (3) days. Prizes will be awarded within 30 days of the close of the contest. How do I participate in the contest?

Participants may enter only one time. Participants must be citizens or legal residents of the United States and must be at least 18 years of age on the first day of the contest. There is no purchase necessary to enter. Employees of the Company and its affiliates are not eligible to enter or win. By participating in the contest, you are agreeing to these rules concerning the contest. By entering the contest, you are also agreeing to the rules, terms and conditions of Facebook.com. How are winners determined?

Winners will be determined by the Company in its sole discretion. Winners will be notified by mail, phone, and/or e-mail in Company’s sole discretion. Winners may be required to execute and return an affidavit of eligibility, a liability release, and, where lawful, a publicity release within forty-eight (48) hours of receipt. If such documents are not returned within the specified time period, if a prize or prize notification is rejected, faulty or returned as undeliverable, if Company is unable to contact a potential winner within 48 hours of notification, or if a potential winner is not in compliance with these Official Rules, all prizes will be forfeited and, at Company’s discretion, an alternate winner selected for the contest at issue.

Prize List

Each weekly winner during the contest’s first eight weeks will receive a one hundred dollar ($100) iTunes® gift card. In the ninth week, one Grand Prize Winner will be selected to win either an iPhone 5® or a Samsung Galaxy® 4S or $1,000 gift card (winner’s choice). No winner of an iTunes gift card is eligible to win a second gift card, however all entrants are eligible to win the Grand Prize. Each winner agrees that the prize is awarded “as is” with no warranty, representation or guarantee, either express or implied, in fact or in law, whether now known or hereinafter enacted, relative to the use or enjoyment of the prize, including, without limitation, its quality, merchantability or fitness for a particular purpose. Winners may not substitute, assign or transfer a prize or redeem a prize for cash. Winners are responsible for all applicable federal, state and local taxes, if any. Company will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach the winner for any reason, including, without limitation, because of incorrect or changed contact information. No more than the stated prizes will be awarded. All prizes legitimately claimed will be awarded.

Disputes

Company is not liable for technical failure or other errors or difficulties of any kind whether human, typographical, printing or otherwise relating to or in connection with the contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the contest, the processing of entries, the announcement of the prizes and the winners, or in any contest-related materials. Participants and nominees, by participating, agree that Companies and its respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, members, managers, contractors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse, awarding or use of any prize (including any activity related thereto) or while preparing for, participating in and/or traveling to or from any prize- or contest-related activity. All contest participants hereby agree that any and all disputes regarding this contest will be settled through BINDING ARBITRATION HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE ARBITRATOR FROM JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC. (“JAMS”). This contest is void where prohibited.

Except where prohibited, as a condition of participating in this contest, each participant agrees that any and all disputes that cannot be resolved between the entrant and any Released Party, claims and causes of action arising out of or connected with this contest, or the prize awarded, or the determination of the winner must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an entrant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-pocket expenses (if any), not to exceed two hundred fifty dollars ($250), and entrant further waives all rights to have damages multiplied or increased.

This contest is no way sponsored, endorsed or administered by, or associated with Facebook. Sync Beatz Entertainment is responsible for the lawful operation of this contest, including the official rules, offer terms and eligibility requirements, and compliance with regulations governing this contest and all prized offered in connection with this contest. Sync Beatz Entertainment reserves the right to modify these rules at its own discretion at anytime.

Applicable Law

All issues concerning these Contests shall be controlled by and construed under the laws of the State of California. California law shall govern interpretation and enforcement of Contests, regardless of conflicts of laws principles. Each party shall bear its own costs and attorneys fees in any such action or dispute.
